Ventura Offshore Holding Ltd – Result of written resolution

April 15, 2026 – Reference is made to the summons for a written resolution dated 15 April 2026 in relation to Ventura Offshore Midco Ltd’s (the “Issuer”) senior secured bonds maturing 19 April 2027 with ISIN NO0013187179. Nordic Trustee AS has today informed the Issuer that the requisite majority of the bondholders has adopted the proposal described in the summons.

Reference is made to the attached message from Nordic Trustee.

DNB Carnegie, a part of DNB Bank ASA, acted as advisor to the company in connection with the proposal.
